Pervasive Software, Inc. (NASDAQ: PVSW) 28% HIGHER; Actian Corporation proposed to acquire all of the outstanding shares of Pervasive Software common stock for $8.50 per share in cash, in a transaction valued at approximately $154 million.
Focus Media Holding Ltd. (NASDAQ: FMCN) INDICATED HIGHER; $27 'take-private' offer
Sears Holdings Corporation (NASDAQ: SHLD) 7% HIGHER; Positive Barron's article says the stock could be worth up to $100/sh.
Galena Biopharma, Inc. (Nasdaq: GALE) 7% HIGHER; announced the issuance of a patent from the Japan Patent Office (JPO) for a Composition of Matter and Method of Treatment patent covering Folate Binding Protein (FBP) peptide variants for use either alone or in combination with the FBP cancer vaccine, E39. The Japanese patent provides exclusivity in the country until 2022, with additional worldwide patent filings pending.
Pandora Media, Inc. (NYSE: P) 4% LOWER; Morgan Stanley downgraded Pandora (NYSE: P) to Equalweight.

The J. M. Smucker Company (NYSE: SJM) 2% HIGHER; Goldman Sachs upgraded J.M. Smucker from Neutral to Buy with a price target of $90.00 (from $85.00).
NPS Pharmaceuticals, Inc. (Nasdaq: NPSP) 2% LOWER; received a communication from the U.S. Food and Drug Administration (FDA) extending the Prescription Drug User Fee Act (PDUFA) action date for its New Drug Application (NDA) for Gattex® (teduglutide) by three months to December 30, 2012. The FDA extended the action date to provide time for a full review of the submission; such extensions are provided for by regulation when information is submitted within three months of a PDUFA action date.
