ChoicePoint Inc. (NYSE: CPS) 43% HIGHER; Reed Elsevier (NYSE: RUK) (NYSE: ENL) has reached an agreement to acquire ChoicePoint in an all-cash transaction is valued at approximately $4 billion, based on an offer of $50 per share. ChoicePoint closed at $33.66 on yesterday.
VASCO Data Security International Inc. (Nasdaq: VDSI) 29% LOWER; reports Q4 EPS of $0.09, 11 cents lower than the analyst estimate of $0.20. Revenues for the quarter were $31.2 million, versus the consensus of $36.60 million.
3SBio Inc. (Nasdaq: SSRX) 24.8% LOWER; reports Q4 EPS of $0.11, 2 cents lower than the analyst estimate of $0.13. Revenues for the quarter were $6.3 million, versus the consensus of $7.09 million. Sees FY08 revs of $30-$32 million, versus the consensus of $36 million.
McCormick & Schmick's Seafood Restaurants, Inc. (Nasdaq: MSSR) 17% LOWER; reports Q4 EPS of $0.24, 2 cents lower than the analyst estimate of $0.26. Revenues for the quarter were $99.5 million, versus the consensus of $98.46 million. Sees FY08 EPS of $0.64-$0.74, versus the consensus of $1.01. Revs are expected to be $410-$420 million, versus $412.2 million.
Novatel Wireless (Nasdaq: NVTL) 18% LOWER; reports Q4 EPS of $0.40, 9 cents better than the analyst estimate of $0.31. Revenues for the quarter were $118 million, versus the consensus of $120.71 million. Sees Q1 EPS of $0.27, versus the consensus of $0.29. Sees Q1 revs of $110 million, versus the consensus of $119.4 million.
Furniture Brands (NYSE: FBN) 16% HIGHER; 9.4% holder SCSF Equities (Sun Capital) made a non-binding proposal to acquire 100% of company. The firm said, "We are pleased to inform you of our interest in acquiring the Company for cash consideration at a substantial premium to its latest closing stock price of $10.18 per share and its 30-day average price of $8.95 per share."
HLTH Corporation (Nasdaq: HLTH) 15% HIGHER; HLT and its 84% owned subsidiary, WebMD Health Corp. (Nasdaq: WBMD), announced today that they have entered into a definitive merger agreement pursuant to which HLTH will merge into WebMD. In the merger, each outstanding share of HLTH common stock will be converted into 0.1979 shares of WebMD common stock and $6.89 in cash.
Vital Images Inc. (Nasdaq: VTAL) 14% LOWER; reports a Q4 loss of $0.06, in-line with the analyst estimate of ($0.06). Revenues for the quarter were $16.7 million, versus the consensus of $17.20 million. Sees FY08 revenues in the range of $74-$78 million, versus the Street estimate of $79.07 million. EPS are expected to be in the range of ($0.05) to $0.08, which does not compare to the consensus of $0.25.
Research In Motion Limited (Nasdaq: RIMM) 11% HIGHER; now expects net subscriber account additions for Q4 to be approximately 15-20% higher than the 1.82 million net subscriber account additions forecasted by RIM on December 20, 2007.
Boston Private Financial Holdings Inc. (Nasdaq: BPFH) 10% LOWER; KBW downgrade
Blue Coat Systems (NASDAQ: BCSI) 9% HIGHER; reports Q3 adj-earnings of $0.38 per share, 5 cents better than estimates. Revenues came in at $81.4 million, versus the consensus of $80.1 million. Sees Q4 adj-EPS of $0.37-0.41 versus the consensus of $0.35. Sees Q4 revenues of $88-$91 million, versus the consensus of $85.09 million.
Ansys, Inc. (Nasdaq: ANSS) 9% HIGHER; reports Q4 adj-EPS of $0.44, above the consensus of $0.31. Revenues came in at $111.2 million, versus the consensus of $101.6 million. Sees Q1 adj-EPS of $0.33-$0.34, versus the consensus of $0.32. Sees FY EPS of $1.48-$1.51, versus the consensus of $1.37.
Career Education (Nasdaq: CECO) 7% LOWER; reports Q4 EPS of $0.34, 4 cents better than the analyst estimate of $0.30. Revenues for the quarter were $437.2 million, versus the consensus of $439.91 million. Career Education issues $800.2 million buyback to purchase stories.
Verigy Ltd. (Nasdaq: VRGY) 6.6% LOWER; reports Q1 EPS of $0.52 in line with analysts estimates. Revenues for the quarter were $200 million, versus the consensus of $200.01 million. Verigy Q2 guidance EPS 16-23 cents may not compare to 41 cents. Revenues 155-170 million versus 180 million consensus.
Itron, Inc. (Nasdaq: ITRI) 6.6% HIGHER; reports Q4 EPS of $0.81, 9 cents better than the analyst estimate of $0.72. Revenues for the quarter were $481 million, versus the consensus of $446.60 million. Full year EPS $3.20 to $3.45 versus consensus of $3.32. Full year revs $1.87 to $1.91 billion versus $1.82 billion.
Quest Diagnostics (NYSE: DGX) 6% LOWER; reports Q4 earnings of $0.79 per share, 1 cent better than estimates. Revenues came in at $1.77 billion, versus the consensus of $1.75 billion. Sees FY08 EPS of $3.00-$3.20 versus the consensus of $3.36.
Psychiatric Solutions, Inc. (Nasdaq: PSYS) 5% LOWER; reports Q4 EPS of $0.42, 1 cent better than the analyst estimate of $0.41. Revenues for the quarter were $403.4 million, versus the consensus of $413.57 million. Sees FY08 EPS of $1.93-$1.97, versus the Street estimate of $1.90. Cisco Systems, Inc. (Nasdaq: CSCO) 3% HIGHER; Citigroup upgrades Cisco From Hold to Buy and raises their price target to $27.
J. C. Penney Company, Inc (NYSE: JCP) 2% HIGHER; reports Q4 EPS of $1.93, versus the consensus of $1.77. Revenues came in at $6.39 billion, versus the consensus of $6.39 billion. Sees Q1 EPS of $0.75-$0.80, versus the consensus of $0.80. Sees FY EPS of $3.75-$4.00, versus the consensus of $4.02.
ProCentury Corporation (Nasdaq: PROS) INDICTED HIGHER; Meadowbrook Insurance Group, Inc. (NYSE: MIG) and ProCentury have executed a definitive merger agreement for a transaction valued at approximately $272.6 million in cash and stock to be paid to ProCentury shareholders.
