- McAfee, Inc. (NYSE: MFE) announced the execution of a definitive merger agreement to acquire Secure Computing Corporation (Nasdaq: SCUR) for $5.75 per common share in cash, without interest, representing an equity value for Secure Computing's common stock of approximately $413 million in the aggregate.

- Late Friday, MidAmerican Energy Holdings Company and Constellation Energy (NYSE: CEG) announced the companies have reached a definitive merger agreement in which MidAmerican will purchase all of the outstanding shares of Constellation Energy for cash consideration of approximately $4.7 billion, or $26.50 per share.
As agreed under the terms of the tentative agreement announced on Sept. 18, Constellation Energy is issuing to MidAmerican $1 billion of preferred equity yielding 8% upon signing the definitive agreement.
The definitive agreement, which has been approved by both companies' Boards of Directors, is subject to shareholder and customary federal and state regulatory approvals. The transaction is expected to close within nine months. The agreement expires nine months after its execution but may be extended by either company for up to three months.
- Citizens, Inc. (NYSE: CIA) announced today it has reached an agreement to acquire Ozark National Life Insurance Company of Little Rock, Arkansas, for $58.06 per share. Ozark National has 137,788 shares of capital stock outstanding.
Ozark has specialized in the sale of ordinary life insurance policies in Arkansas through its pre-need and home service distribution channels since 1956.
For the year ended December 31, 2007, Ozark National had assets of $18.5 million and annual premiums of $4.0 million. The transaction is subject to approval by Ozark National's shareholders, approvals by insurance regulators and other customary closing conditions. Closing is expected in Q408.
