Notable Mergers and Acquisitions of the Day 9/16: ADBE/OMTR, GLW/ACAS, HSR
- Adobe Systems (Nasdaq: ADBE) is buying Omniture, Inc. (Nasdaq: OMTR) for approximately $1.8 billion. Under the terms of the agreement, Adobe will commence a tender offer to acquire all of the outstanding common stock of Omniture for $21.50 per share in cash.
Adobe's acquisition of Omniture furthers its mission to revolutionize the way the world engages with ideas and information. By combining Adobe's content creation tools and ubiquitous clients with Omniture's Web analytics, measurement and optimization technologies, Adobe will be well positioned to deliver solutions that can transform the future of engaging experiences and e-commerce across all digital content, platforms and devices.
- Corning Incorporated (NYSE: GLW) announced that it has acquired all the shares of Axygen BioScience, Inc. and its subsidiaries from American Capital Ltd. (Nasdaq: ACAS) for approximately $400 million in cash.
Headquartered in Union City, Calif., Axygen is a leading manufacturer and distributor of high-quality life sciences plastic consumable labware, liquid handling products, and bench-top laboratory equipment with operations in the United States, France, Poland, and China. Axygen will be integrated into Corning's Life Sciences segment.
- Chemring Group PLC entered into a conditional agreement to acquire the entire issued stock capital of Hi-Shear Technology Corporation (NYSE: HSR) for a cash consideration of $19.18 per share equating to $132 million.
The cash consideration of $132 million will be funded utilising a new committed facility with Lloyds Banking Group.
