- Apria Healthcare Group Inc. (NYSE: AHG) entered into a definitive merger agreement with an affiliate of The Blackstone Group (NYSE: BX) in a transaction valued at approximately $1.6 billion.
Under the terms of the merger agreement, Apria shareholders will receive $21.00 in cash for each outstanding share of common stock they hold. The $21.00 per share in cash purchase price represents a premium of approximately 33% over the closing share price on Wednesday, June 18, 2008.
- Deluxe Corporation (NYSE: DLX) today announced that it has entered into a definitive agreement to acquire Hostopia.com for about C$124 million in cash. Under terms of the Merger Agreement, Deluxe will pay C$10.55 in cash for each outstanding Hostopia common share.
The acquisition is not expected to have a significant impact to Deluxe's earnings and operating cash flow for fiscal 2008 and is expected to close in Q308.
- Monsanto Company (NYSE: MON) today announced that it has agreed to acquire Marmot, S.A., which runs Semillas Cristiani Burkard, a private seed company out of Guatemala City. Once completed, the acquisition will build on Monsanto's corn business leadership and enable it to offer farmers in Central American countries broader access to corn seed varieties.
The transaction will be completed as soon as practical. Additional terms of the agreement were not disclosed.
SCB focuses on hybrid corn seed production and is a leading provider of corn, sorghum, forage sorghum, soybeans, and pastures.
