- Quanta Capital Holdings Ltd. (NASDAQ: QNTA) entered into a definitive amalgamation agreement with Catalina Holdings (Bermuda) Ltd. and Catalina Alpha Ltd. Pursuant to the amalgamation agreement, Catalina will acquire Quanta in a transaction valued at approximately $197 million. At the closing of the proposed amalgamation, holders of the common shares of Quanta will receive $2.80 per share in cash.
- Barracuda Networks Inc. made a proposal to the Board of Directors of Sourcefire Inc. (Nasdaq: FIRE) to acquire all of the outstanding shares of common stock for $7.50 per share in cash. This proposal represents a 13 percent premium above the closing price of Sourcefire common stock on May 23, 2008.
Sourcefire has rejected Barracuda's initial offer, saying the offer substantially undervalues the company.
- Blackbaud, Inc. (NASDAQ: BLKB) today announced that it is acquiring Kintera, Inc. (NASDAQ: KNTA) for $46 million in an all-cash transaction. Blackbaud expects to finance the deal with cash and borrowings from its credit facility.
