Notable Mergers and Acquisitions of the Day 5/27: SUMT, TMRK/VMW, HGR
- SumTotal(R) Systems, Inc. (NASDAQ: SUMT) announced that it has entered into a definitive merger agreement with affiliates of Vista Equity Partners Fund III, L.P. under which Vista will acquire all the outstanding shares of SumTotal common stock for $4.85 per share in cash (the "Vista Agreement"), or approximately $160 million. The Vista Agreement was unanimously approved by the Board of Directors of SumTotal.
The purchase price represents a premium of approximately 141.3% over SumTotal's closing share price on April 3, 2009, the last trading day prior to the public announcement of Vista's proposal to acquire SumTotal for $3.25 per share in cash, and a premium of approximately 196.9% over SumTotal's average closing share price for the 30 trading days ending on April 3, 2009.
- Terremark Worldwide, Inc. (NASDAQ: TMRK) today announced that VMware, Inc. (NYSE: VMW) will acquire an equity stake in the Company.
Under the agreement, VMware will purchase 4 million shares of newly issued Terremark common stock at $5 per share, for a total investment of $20 million. With this investment, VMware will own approximately 5 percent of Terremark's total common stock on a fully diluted basis.
- Hanger Orthopedic Group, Inc. (NYSE: HGR) today announced that it has acquired Northwest Prosthetic & Orthotic Clinic and Inline Orthotic and Prosthetic Systems. These acquisitions add patient care centers to existing markets in Washington and California.
President and CEO, Thomas F. Kirk stated, "We are very pleased welcome the talented professionals from both Northwest and Inline to the Hanger team. These acquisitions continue our strategy of building share in existing markets and add value in our core O&P business."
