Notable Mergers and Acquisitions of the Day 5/12 (RADN/CMTL, CVC, YHOO, RODM)

- Radyne Corporation (Nasdaq: RADN) signed a definitive merger agreement to be acquired by Comtech Telecommunications Corp (Nasdaq: CMTL) for $11.50 per share in cash.
- Cablevision Systems Corporation (NYSE: CVC) and Tribune Company announced a definitive agreement to form a new partnership through which Cablevision will acquire approximately 97% of Newsday Media Group. Newsday was valued at $632 million in the transaction, and Tribune Company will also receive $18 million at closing as prepaid rent under certain leases of property used in the business, bringing the total transaction value to $650 million. The partnership will add a complementary print and online media group with diverse, quality local content to Cablevision that generates substantial operating cash flow and that creates opportunities to grow Cablevision's advertising, subscription and content-based businesses.
- Yahoo (Nasdaq: YHOO) acquired Inquisitor in a move to improve how search results appear on Apple (Nasdaq: AAPL) computers.
Inquisitor 3, a search technology that auto-completes queries and delivers results right in Safari Web browser, is similar to Yahoo!'s existing Search Assist technology. Simply type in your query and websites will appear immediately, as well as suggestions for refining your search.
Terms of the deal weren't disclosed, but Inquisitor founder and developer David Watanabe will continue to work with Yahoo on the software.
- Rodman & Renshaw Capital Group, Inc. (NASDAQ: RODM) entered into a definitive agreement to acquire the operating assets of COSCO Capital Management LLC for $10.1 million in cash and stock consideration, with $8.1 million payable at closing and $2 million over the ensuing two years.
