- National City Corporation (NYSE: NCC) confirmed recent reports its Board of Directors is reviewing a range of strategic alternatives for the company.
Goldman Sachs has been retained as National City's advisor for this review.
National City said that there can be no assurance that this review will result in the company undertaking any particular transaction. The company does not expect to make further statements or announcements regarding the review until such time as the Board has approved a specific course of action.
- HP (NYSE: HPQ) announced that it has signed a pre-bid agreement to acquire Tower Software, a document and records management software company.
The deal is expected to expand HP's offerings in the fast-growing electronic discovery and compliance software market.
- O'Reilly Automotive, Inc. (Nasdaq: ORLY) and CSK Auto Corporation (NYSE: CAO) announced that the two companies have signed a definitive merger agreement under which O'Reilly will acquire all of the outstanding shares of CSK common stock pursuant to an exchange offer, in a transaction valued at approximately $1.0 billion, including approximately $500 million of debt.
Under the terms of the agreement, CSK shareholders will receive $11.00 of O'Reilly common stock, subject to a collar, plus $1.00 in cash for each share of CSK common stock.
