Notable Mergers and Acquisitions of the Day 2/25 (ERTS/TTWO, GYI, DAL/NWA, CAL/UAUA)

- Electronic Arts (NASDAQ: ERTS) announced that it has proposed to acquire Take-Two Interactive Software (NASDAQ: TTWO) in an all-cash merger valued at approximately $2.0 billion, or about $26/share. Take-Two rejected the 63% premium price, saying the bid undervalued the company.
- Getty Images Inc. (NYSE: GYI) entered into a definitive merger agreement to be acquired by affiliates of the private equity firm Hellman & Friedman LLC in a transaction valued at approximately $2.4 billion, including the assumption of existing debt.
Under the terms of the agreement, Getty Images stockholders will receive $34.00 in cash for each outstanding share of common stock they own. The per share offer represents a 39% premium from Getty's closing price of $24.45 on Friday.
- In a research report released this morning, Soleil Securities Group made comments about the potential tie-ups that may come out of the airline industry.
The firm believes that despite recent delays "caused by pilot nitpicking over integration details" Delta (NYSE: DAL) and Northwest (NYSE: NWA) will eventually merge. Soleil expects this merger could potentially trigger a merger between Continental (NYSE: CAL) and United (Nasdaq: UAUA).
Soleil estimates the combination of Continental and United could fetch a total equity value of about $19 billion if they merge, or about $59 per share for the new company. The firm notes that "difficult-to-forecast risks" are currently not priced into a merger between either Delta/Northwest or Continental/United, but believes that its analysis provides a good starting point for assessing such combinations.
