Notable Mergers and Acquisitions of the Day 2/22 (ROP, EMC, MINI, FLI)

- Roper Industries, Inc. (NYSE: ROP) today announced that it has acquired The CBORD Group for a total of $367 million, which includes $23 million in tax benefits over time.
According to Roper, the acquisition is expected to be immediately accretive by $0.02-$0.03 to FY08 EPS and is expected to increase FY09 EPS by $0.10.
- EMC Corporation (NYSE: EMC) signed a definitive agreement to acquire Seattle-based Pi Corporation, a privately-held developer of software and provider of services for personal information management.
The acquisition of Pi will be an all-cash transaction and is expected to be completed in the first quarter of 2008. On a GAAP basis, EMC currently expects the acquisition of Pi will be dilutive by $.01 per diluted share in 2008. No further details of the transaction are being disclosed.
- Mobile Mini (Nasdaq: MINI) announced a $701.5 million merger agreement with Mobile Storage Group. Mobile Mini will assume approximately $535.0 million of Mobile Storage Group’s outstanding indebtedness and will acquire all outstanding shares of Mobile Storage Group for $12.5 million in cash and shares of newly issued Mobile Mini convertible preferred stock with a liquidation preference of $154.0 million.
- CHC Helicopter Corporation (NYSE: FLI), the world's largest provider of helicopter services to the global offshore oil and gas industry, and First Reserve Corporation, the leading private equity firm that specializes in the energy industry, today announced that a fund managed by First Reserve has entered into an agreement to acquire CHC.
CHC and First Reserve believe that the all-cash transaction, which values the company at an adjusted enterprise value of Canadian $3.7 billion, is the largest-ever buyout in the oilfield services industry.
