  • Clearwater Paper (NYSE: CLW) to buy Cellu Tissue Holdings (NYSE: CLU) for about $502 million, including equity value of about $247 million and net debt of about $255 million. The per share price Clearwater will pay is at $12 in cash. Clearwater says it intends to fund the deal with cash on hand and a $350 million debt financing.

  • Calix, Inc. (NYSE: CALX) has entered into an agreement to acquire Occam Networks, Inc. (Nasdaq: OCNW) for a total consideration of $171 million, or about $7.75 per share.

    Calix expects to complete the acquisition in the fourth quarter of 2010 or first quarter of 2011, subject to Occam Networks stockholder approval, receipt of required regulatory clearance and the satisfaction of certain other customary closing conditions.

    The acquisition is expected to be accretive to Calix's Q211 non-GAAP earnings.

  • NRG Energy (NYSE: NRG) agrees to acquire Green Mountain Energy for $350 million in cash.

    NRG expects the deal to immediately add to EBITDA and cash flow.
