Notable Mergers and Acquisitions of the Day 09/03: GG, FLIR/ICXT, WAG/OCR
- Overnight, Goldcorp Inc. (NYSE: GG) announced an agreement to acquire Andean Resources Limited (TSX: AND) for approximately C$3.6 billion, or $3.4 billion U.S.
Andean's owns the Cerro Negro gold project in the Santa Cruz province of Argentina.
Cerro Negro has reported indicated resources of 2.54 million ounces of gold and 23.56 million ounces of silver.
- FLIR Systems, Inc. (Nasdaq: FLIR) subsidiary, Indicator Merger Sub, Inc., intends to commence a cash tender offer for the all outstanding shares of ICx Technologies, Inc. (Nasdaq: ICXT). The total consideration of the offer is $274 million.
Upon the successful closing of the tender offer, shareholders of ICx will receive $7.55 in cash for each share of ICx common stock tendered in the offer, without interest and less any required withholding taxes.
- Omnicare, Inc. (NYSE: OCR) announces the acquisition of Walgreen Co.'s (NYSE: WAG) long-term care pharmacy business.
Walgreen's will receive all of the assets of Omnicare’s home infusion business as part of the transaction.
Closing of the transaction, which is subject to regulatory approvals and other conditions, is expected to occur before Nov. 15, 2010. Financial terms were not disclosed.
