American Software, Inc. (Nasdaq: AMSWA) 26.4% HIGHER; announced today that it is commencing a cash tender offer for all of the outstanding publicly held minority interest in Logility, Inc. (Nasdaq: LGTY) for $7.02 per share in cash. Click here for the full report.

Sears Holdings Corporation (Nasdaq: SHLD) 20.7% HIGHER; reports Q1 EPS of $0.38, ex-items, or $0.21 on a GAAP basis, versus the analyst estimate of ($0.88). Revenue for the quarter was $10.06 billion, versus the consensus of $10.06 billion. Domestic comps fell 7.4%. Also annouced that it successfully extended the maturity date of its revolving credit facility by entering into an amended credit agreement which has an expiration date of June 22, 2012.

Aruba Networks, Inc. (Nasdaq: ARUN) 18.5% HIGHER; reports Q3 EPS of $0.01, 2 cents better than the analyst estimate of ($0.01). Revenue for the quarter was $45.8 million, versus the consensus of $42.79 million.

Allied Irish Banks (NYSE: AIB) 17.8% HIGHER; with no news hitting the stock today, traders are attributing the strength to a technical breakout above the $3.50 level.

OncoGenex Pharmaceuticals, Inc. (Nasdaq: OGXI) 15.6% HIGHER; seeing some interest this morning after news Johnson & Johnson (NYSE: JNJ) agreed to acquire Cougar Biotechnology, Inc. (Nasdaq: CGRB) for $1 billion, or $43 per share.

Cougar Biotechnology, Inc. (Nasdaq: CGRB) 15.3% HIGHER; Johnson & Johnson (NYSE: JNJ) and Cougar announced a definitive agreement whereby Cougar Biotechnology will be acquired for approximately $1.0 billion in a cash tender offer. Under the terms of the agreement, Johnson & Johnson will initiate a tender offer, through a new wholly-owned subsidiary, to purchase all outstanding shares of Cougar Biotechnology at $43 per share.

Autodesk, Inc. (Nasdaq: ADSK) 14.7% HIGHER; reports Q1 EPS of $0.18 adjusted, 10 cents better than the analyst estimate of $0.08. Revenue for the quarter was $426 million, versus the consensus of $419.07 million. Eliminating 430 jobs.

Zumiez Inc. (Nasdaq: ZUMZ) 14.4% LOWER; reports Q1 loss of $0.06, 2 cents better than the analyst estimate of ($0.08). Revenue for the quarter was $76.8 million, versus the consensus of $76.52 million. Sees Q2 loss of 17c to 14c versus loss of 7c consensus.

Excel Maritime Carriers Ltd. (NYSE: EXM) 13.6% HIGHER; reports Q1 EPS of $2.42, ex-items, versus the analyst estimate of $0.69. Revenue for the quarter was $222.1 million, versus the consensus of $109.32 million.

Safe Bulkers, Inc. (NYSE: SB) 13% HIGHER; reports Q1 EPS of $1.14, versus the analyst estimate of $0.64. Revenue for the quarter was $46.9 million, versus the consensus of $50.54 million. Declaration of a dividend of $0.15 per share for the first quarter of 2009.

Red Robin Gourmet Burgers, Inc. (Nasdaq: RRGB) 12.3% LOWER; reports Q1 EPS of $0.47 adjusted, 13 cents better than the analyst estimate of $0.34. Revenue for the quarter was $270.8 million, versus the consensus of $274.23 million.

SkillSoft Corporation (Nasdaq: SKIL) 11.3% HIGHER; reports Q1 EPS of $0.19, 7 cents better than the analyst estimate of $0.12. Revenue for the quarter was $76.4 million, versus the consensus of $75.77 million. Sees Q2 EPS of $0.13-$0.14, versus the consensus of $0.14 and revs of $75-$77 million, versus the Street estimate of $76.4 million. Sees FY09 sales of $300-$310 million, versus the consensus of $306 million.

Salesforce.com, Inc. (NYSE: CRM) 9% LOWER; reports Q1 EPS of $0.15, 4 cents better than the analyst estimate of $0.11. Revenue for the quarter was $304.9 million, versus the consensus of $304.73 million. Sees Q2 revenues $312M to $313M versus $319.2MM. Sees Q2 EPS 14c to 15c versus consensus 13c.
