CV Therapeutics, Inc. (Nasdaq: CVTX) 28% HIGHER; Gilead Sciences, Inc. (Nasdaq: GILD) and CV Therapeutics announced the signing of a definitive agreement pursuant to which Gilead will acquire CV Therapeutics for $20.00 per share in cash through a tender offer and second step merger. MORE

guidance from a gain of $0.05-$0.10 to a loss of $0.40-$0.45, versus

Danaos (NYSE: DAC) 10.5% LOWER; reports Q4 EPS of $0.44, in-line with the analyst estimate of $0.44. Revenues for the quarter were $78.7 million, versus the consensus of $78.44 million.

Men's Wearhouse (NYSE: MW) 9.9% HIGHER; reports Q4 loss of $0.06, 10 cents better than the analyst estimate of ($0.16). Revenues for the quarter were $476.4 million, versus the consensus of $490.25 million. Sees Q1 results breakeven to a mid-single digit loss and a first half GAAP EPS of $0.45-$0.65.

Clarient, Inc. (Nasdaq: CLRT) 8.1% HIGHER; reports Q4 loss of $0.03, in-line with the analyst estimate of ($0.03). Revenues for the quarter were $21.9 million, versus the consensus of $17.85 million.

GE (NYSE: GE) 8% HIGHER; As expected, Standard & Poor's announced a downgrade of General Electric Company's and General Electric Capital Corporation's (GECC) long-term ratings from AAA to AA+. S&P has a "stable" outlook. MORE

Bank of America Corporation (NYSE: BAC) 6% HIGHER; continues recent move off the lows.

Majesco Entertainment (Nasdaq: COOL) 6.3% HIGHER; reports Q1 EPS of $0.15, versus the analyst estimate of $0.04. Revenues for the quarter were $32.8 million, versus the consensus of $20.20 million. Raises FY09 sales guidance to $75-$80 million, versus the consensus of $72 million, with EPS of $0.10-$0.14, versus the Street estimate of $0.11.

Diamond Foods, Inc. (Nasdaq: DMND) 5% LOWER; reports Q2 EPS of $0.37, 6 cents better than the analyst estimate of $0.31. Revenues for the quarter were $150.6 million, versus the consensus of $154.20 million. Raises FY09 EPS guidance to $1.27-$1.34, versus the consensus of $1.32.

Pfizer Inc. (NYSE: PFE) 4.5% HIGHER; announced today that a phase 3 clinical trial of Sutent (sunitinib malate) has been stopped early after the drug showed significant benefit in patients with advanced pancreatic islet cell tumors, also known as pancreatic neuroendocrine tumors.

OMNI Energy Services (Nasdaq: OMNI) 4% HIGHER; reports Q4 EPS of $0.13, compared to a loss $0.08 in the same quarter last year. Revenues for the quarter were $50.4 million, versus the consensus of $44.14 million.

Johnson Controls Inc. (NYSE: JCI) 4% HIGHER; Deutsche Bank upgrade
