Fidelity Bancorp, Inc. (Nasdaq: FSBI) 63.5% HIGHER; WesBanco, Inc. (Nasdaq: WSBC) and Fidelity Bancorp jointly announced today that they have executed a definitive Agreement and Plan of Merger. Under the terms of the Agreement and Plan of Merger, WesBanco will exchange a combination of its common stock and cash for Fidelity common stock. Fidelity shareholders will be entitled to receive 0.8275 shares of WesBanco common stock and cash in the amount of $4.50 per share for each share of Fidelity common stock.

Chipotle Mexican Grill (NYSE: CMG) 22.5% LOWER; reported Q2 EPS of $2.56, $0.26 better than the analyst estimate of $2.30. Revenue for the quarter came in at $690.9 million versus the consensus estimate of $706.62 million. Comps Up 8%. The stock was downgraded at Janney and Deutsche Bank. Goldman Sachs removed the stock from its Conviction Buy list.

Lodgenet Interactive Corp. (NASDAQ: LNET) 22.1% LOWER; reported Q2 EPS of ($0.36), versus ($0.17) reported last year. Revenue for the quarter came in at $92.8 million, versus $106.64 million reported last year. Withdrawals outlook for FY12.

Cepheid, Inc. (NASDAQ: CPHD) 20.7% LOWER; reported Q2 EPS of $0.02, in-line with the analyst estimate of $0.02. Revenue for the quarter came in at $81 million versus the consensus estimate of $82.67 million. Sees FY2012 EPS of $0.00-$0.04, versus the consensus of $0.14. Sees FY2012 revenue of $333-$347 million, versus the consensus of $341.8 million.

Gold Resource Corporation (NYSE: GORO) 20.2% LOWER; reported its preliminary production results for the second quarter ended June 30, 2012 of approximately 14,500 ounces precious metal gold equivalent (AuEq) at a 60:1 price ratio. Click here to see the full report.

Universal Stainless & Alloy (NASDAQ: USAP) 19.1% LOWER; reported Q2 EPS of $0.62, $0.21 worse than the analyst estimate of $0.83. Revenue for the quarter came in at $67.9 million versus the consensus estimate of $83.4 million.

STAAR Surgical (Nasdaq: STAA) 17.1% LOWER; sees Q2 sales of about $16 million, which compares to the Street estimate of $18.35 million.

Universal Forest Products (NASDAQ: UFPI) 15.6% LOWER; reported Q2 EPS of $0.88, $0.17 better than the analyst estimate of $0.71. Revenue for the quarter came in at $593.7 million versus the consensus estimate of $620.27 million.

Pluristem Therapeutics (Nasdaq: PSTI) 14.4% HIGHER; shares are continuing higher today. The stock is up about 50 percent since announcing a partnership with CPC Clinical Research for study on peripheral artery disease.

Rambus, Inc. (NASDAQ: RMBS) 13.3% LOWER; reported Q2 EPS of ($0.29), $0.09 worse than the analyst estimate of ($0.20). Revenue for the quarter came in at $56.9 million versus the consensus estimate of $57 million.

Dole Food Company (NYSE: DOLE) 13.2% HIGHER; reported Q2 EPS of $0.80, $0.08 better than the analyst estimate of $0.72. Revenue for the quarter came in at $1.78 billion versus the consensus estimate of $1.82 billion. In talks with third parties about a strategic review, might include separation of units.

Sandisk Corp (NASDAQ: SNDK) 12.9% HIGHER; reported Q2 EPS of $0.21, $0.02 better than the analyst estimate of $0.19. Revenue for the quarter came in at $1.03 billion versus the consensus estimate of $1.02 billion. Looking for Q3 sales of about $1.2 billion, which compares to the Street estimate of $1.22 billion, sees gross margin 28 percent +/- 2 points.

Advanced Micro Devices, Inc. (NYSE: AMD) 12.5% LOWER; reported Q2 EPS of $0.06, $0.01 worse than the analyst estimate of $0.07. Revenue for the quarter came in at $1.41 billion versus the consensus estimate of $1.63 billion.

Badger Meter (NYSE: BMI) 12.5% LOWER; reported Q2 EPS of $0.52, $0.02 worse than the analyst estimate of $0.54. Revenue for the quarter came in at $81.97 million versus the consensus estimate of $86.87 million.

Meadowbrook Insurance Group, Inc. (NYSE: MIG) 11.6% LOWER; sees Q2 loss of about 15-16 cents per share, which compares to the Street estimate looking for a gain of 22 cents per share. Revised its FY12 EPS guidance to 55-60 cents per share, which compares to the Street estimate of 86 cents per share. The company was previously looking for EPS of $1.05-$1.15.

pSivida (Nasdaq: PSDV) 11.5% LOWER; traders are taking profits following a 27 percent rise yesterday on the heels of FDA clearance for its pivotal trials on uveitis.

New Oriental Education & Technology Group (NYSE: EDU) 9.6% HIGHER; continuing to bounce following a 57 percent move lower over Tuesday and Wednesday. This morning, the company announced it formed an independent special committee to consider the recent Muddy Waters allegations.

Baker Hughes, Inc. (NYSE: BHI) 9.6% HIGHER; reported Q2 EPS of $1.00, $0.23 better than the analyst estimate of $0.77. Revenue for the quarter came in at $5.33 billion versus the consensus estimate of $5.26 billion.

Acacia Research (Nasdaq: ACTG) 9.5% LOWER; reported Q2 EPS of 43 cents, which compares to the Street estimate of 21 cents, on sales of $50.48 million, vs. the consensus of $41.8 million.

Hub Group, Inc. (NASDAQ: HUBG) 9% LOWER; reported Q2 EPS of $0.46, $0.02 worse than the analyst estimate of $0.48. Revenue for the quarter came in at $778.3 million versus the consensus estimate of $815.88 million.
