UPWARD MOVERS:
Bristol West Holdings (NYSE: BRW) +$5.74; Agreed to be acquired by Farmers Group, Inc. (FGI), a wholly-owned subsidiary of Zurich Financial Services Group. Under the terms of the agreements, the holders of BRW common stock will receive $22.50 per share in cash for their shares, which represents a 38.8% premium above the March 1, 2007 closing price of $16.21. The transaction is valued at $712 million, excluding the assumption of certain debt obligations of BRW pursuant to the acquisition, and exclusive of fees.
Kohl's (NYSE: KSS) +$3.34; Reports Q4 EPS of $1.48, 5 cents better than estimates.(1.43) Revenues were $5.43 billion vs. $5.43 billion consensus. Sees FY EPS between $3.68-3.84 vs. consensus of $3.82. Sees FY Comps up 2-4%.
Dendrite International (NASDAQ: DRTE) +$2.75; CEGEDIM S.A. and Dendrite International announced a definitive merger agreement under which CEGEDIM will acquire Dendrite for $16.00 per outstanding share in cash.
Pall Corp (NYSE: PLL) +$2.61; Reports Q2 EPS of $0.43, 10 cents better than estimates.(0.33) Revenues were $544.9 million vs. $523.42 million consensus. With these six month results and assuming a steady macroeconomic environment, we now expect to post full year earnings per share on a pro forma basis above our original guidance of $1.45 to $1.60. (Consensus is $1.58)
Palm, Inc. (Nasdaq: PALM) +$1.31; Stock is higher today on resurfaced takeover chatter. Dow Jones named Nokia Corp. (NYSE: NOK) and Motorola Inc. (NYSE: MOT) as rumored suitors. The stock is up 7% this morning. NOTE: Palm has been a rumored takeover target for some time, but the intensity of the rumors has grown recently.
DOWNWARD MOVERS:
Gulf Island Fabrication (NASDAQ: GIFI) -$9.84; Reports Q4 EPS of $0.26 vs. consensus of $0.53. Revenues were $76.0 million compared to $41.4 million for the fourth quarter ended December 31, 2005. Also, the Company discovered an error regarding the estimated revenue on the Tahiti contract, which the Company assumed when it acquired Gulf Marine Fabricators, effective January 31, 2006. The Company determined that the amount of revenue it had recognized on this contract during the first three quarters of 2006 was overstated.
Google (Nasdaq: GOOG) -$7.48; Shares are losing ground again today. In the company's annual report, GOOG said it received SEC inquiry into the way the company accounts for its income taxes.
Advocat Inc. (NASDAQ: AVCA) -$4.65; Reports Q4 EPS of $0.37, 6 cents worse than estimates. Revenues were $55.8 million vs. $54.3 million consensus. Revenues for 2007 are expected to increase to a range of $221 to $228 million (Consensus is $225.37 million) Sees FY07 EPS between loss of $0.08 and profit of $0.01 vs. consensus of $2.13.
World Fuel Services Corp. (NYSE: INT) -$3.96; Reports Q4 EPS of $0.60, in-line with estimates. Revenues were $2.62 billion vs. $2.83 billion consensus.
AMN Healthcare Services (NYSE: AHS) -$3.95; Reports Q4 EPS of $0.29 (including a benefit of $0.05 due to favorable adjustments) vs. consensus of $0.23. Revenues were $283.5 million vs. $279.60 million consensus. Sees Q1 EPS between $0.21-0.23 and revenues between $282-284 million (Q1 EPS consensus is $0.26 and revenue consensus is $281.88 million). Sees FY07 EPS between $1.10-1.14 and revenues between $1.18-1.2 billion (FY EPS consensus is $1.19 and revenue consensus is $1.18 billion).
