Measurement Specialties, Inc. (NASDAQ: MEAS) 10.3% HIGHER; TE Connectivity (NYSE: TEL) has entered into a definitive agreement to acquire Measurement Specialties for $86 cash per share or a total transaction value of approximately $1.7 billion (including assumption of net debt).
Clarcor, Inc. (NYSE: CLC) 5.5% HIGHER; reported Q2 EPS of $0.68, $0.06 better than the analyst estimate of $0.62. Revenue for the quarter came in at $386.6 million versus the consensus estimate of $364.3 million. Clarcor, Inc. sees FY2014 EPS of $2.85-$2.95, versus the consensus of $2.73. Clarcor, Inc. sees FY2014 revenue of $1.485-1.535 billion, versus the consensus of $1.49 billion.
Red Hat, Inc. (NYSE: RHT) 4% HIGHER; reported Q1 EPS of $0.34, $0.01 better than the analyst estimate of $0.33. Revenue for the quarter came in at $424 million versus the consensus estimate of $413.97 million. sees FY15 adjusted EPS of $1.52 - $1.54, versus the consensus at $1.55. Revs expected at $1.76 - $1.79 billion wit the Street at $1.75 billion. The company sees Q2 adjusted EPS of about $0.38 and revs of $432 - $436 million. The Street is at Q2 EPS of $0.38 and revs of $426.6 million.
Seadrill Partners LLC (NASDAQ: SDLP) 3.8% LOWER; announced today that it plans to offer 6,100,000 common units representing limited liability company interests in a public offering. In addition, Seadrill Limited (NYSE: SDRL) has agreed to purchase directly from Seadrill Partners, in a private placement, at least $100.0 million of common units to close concurrently with the public offering of common units. The Company intends to use the net proceeds from the public offering and the concurrent private placement for general company purposes, which may include acquisitions, repayment of indebtedness and working capital purposes.
Education Realty Trust (NYSE: EDR) 3% LOWER; plans to sell 19.8 million shares of its common stock in an underwritten public offering. The company also plans to grant the underwriters a 30-day option to purchase up to 2.97 million additional shares of common stock. BofA Merrill Lynch, KeyBanc Capital Markets and RBC Capital Markets are serving as joint book-running managers for the offering.
Qiagen NV (NASDAQ: QGEN) 2.9% HIGHER; announced that its artus CMV RGQ MDx Kit for human cytomegalovirus (CMV) has been approved by the U.S. Food and Drug Administration (FDA) under a full premarket approval (PMA). The test is the only FDA-approved PCR-based assay optimized for low- to mid-throughput testing of CMV. With a turn-around time of approximately three hours, the assay provides faster results than other PMA approved tests. artus CMV RGQ MDx runs on QIAGEN's Rotor-Gene Q MDx real-time PCR platform, which was cleared by the FDA in 2012 and is a member of the QIAsymphony modular family of automated instruments.
Chemical Financial (Nasdaq: CHFC) 2.5% LOWER; announced that it has commenced an underwritten public offering of $70 million of its common stock. The Company intends to grant the underwriters a 30-day option to purchase up to an additional 15 percent of the shares of common stock sold pursuant to this offering to cover over-allotments. All of the shares are being offered by the Company.
Jabil Circuit, Inc. (NYSE: JBL) 1.4% HIGHER; reported Q3 EPS of ($0.06), $0.03 better than the analyst estimate of ($0.09). Revenue for the quarter came in at $3.79 billion versus the consensus estimate of $3.6 billion. Jabil Circuit sees Q4 2014 EPS of ($0.10) - $0.10, versus the consensus of $0.02 and revenue of $3.7 - $3.9 million, versus the consensus of $3.78 million.
