Magma Design (Nasdaq: LAVA) 27% HIGHER; Synopsys (Nasdaq: SNPS) to acquire Magma for $7.35/share in cash

Scorpio Tankers Inc. (NYSE: STNG) 13.8% LOWER; announced today that it intends to offer and sell 7,000,000 shares of its common stock in an underwritten public offering. The purpose of the offering is to enable the Company to fund the acquisition of two 52,000 dwt newbuilding tankers that it is currently negotiating to have constructed at Hyundai Mipo Dockyard Co. Ltd. of South Korea. The proceeds of the offering are expected to be used to partially repay outstanding indebtedness under the Company's 2010 Revolving Credit Facility with Nordea Bank Finland plc (the "2010 Revolving Credit Facility") and for general corporate purposes.

Douglas Dynamics, Inc. (NYSE: PLOW) 4% LOWER; today announced a public offering of 1,996,479 shares of its common stock by certain of its stockholders, including affiliates of Aurora Capital Group. The Company will not sell any shares in the offering and will not receive any of the proceeds from the offering. Upon consummation of the offering, Aurora Capital Group and its affiliates will cease to own any shares of the Company's common stock.

Holly Energy Partners, L.P. (NYSE: HEP) 4% LOWER; intends to offer 1,400,000 common units representing limited partner interests in the Partnership in a public offering. In connection with the offering, the Partnership expects to grant the underwriters a 30-day option to purchase up to 210,000 additional common units.

Yahoo! (Nasdaq: YHOO) 3.5% HIGHER; Alibaba-led group said to prepare bid for ALL of Yahoo!.

Synopsys, Inc. (NASDAQ: SNPS) 2.5% HIGHER; reported Q4 EPS of $0.45, in-line with the analyst estimate of $0.45. Revenue for the quarter came in at $390.5 million versus the consensus estimate of $390.11 million. Sees Q1 2012 EPS of $0.51-$0.53, versus the consensus of $0.46. Sees Q1 2012 revenue of $412-$420 million, versus the consensus of $389.0 million. Sees FY2012 EPS of $1.93-$1.99, versus the consensus of $1.96. Sees FY2012 revenue of $1.64-$1.665 billion, versus the consensus of $1.65 billion.

Finisar Corp (NASDAQ: FNSR) 2% LOWER; reported Q2 EPS of $0.23, $0.01 better than the analyst estimate of $0.22. Revenue for the quarter came in at $241.5 million versus the consensus estimate of $242.27 million.

LDK Solar Co., Ltd. (NYSE: LDK) 1.7% LOWER; plans to issue an aggregate principle amount of RMB3,000,000,000 notes to institutional investors in the People's Republic of China.

Aeropostale, Inc. (NYSE: ARO) 1% HIGHER; reported Q3 EPS of $0.30, $0.02 better than the analyst estimate of $0.28. Revenue for the quarter came in at $596.5 million versus the consensus estimate of $578.78 million. Aeropostale, Inc. sees Q4 2011 EPS of $0.35-$0.38, versus the consensus of $0.44.
