Item 5.02           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 25, 2016, Lumber Liquidators Holdings, Inc. (the “Company”) filed a Current Report on Form 8-K under Item 5.02 reporting that, on March 24, 2016, the Board of Directors had appointed W. Stephen Cannon to serve as a new director of the Company effective March 24, 2016. At the time of that filing, Mr. Cannon had not been appointed to any committees of the Board of Directors. The Company is filing this Form 8-K/A to report that on May 23, 2016, the Board of Directors appointed Mr. Cannon to serve on the Audit Committee and the Compliance and Regulatory Affairs Committee effective May 23, 2016.
