Item 8.01. Other Events.

On March 13, 2015, Weight Watchers International, Inc. (the “Company”) announced that James R. Chambers, Chief Executive Officer, and Nicholas P. Hotchkin, Chief Financial Officer, each voluntarily elected to receive one third of his annual, performance-based cash bonus for the 2014 fiscal year in stock, resulting in their receipt of 52,423 and 17,168 shares of the Company’s common stock, no par value per share, respectively. Neither Mr. Chambers nor Mr. Hotchkin will receive an increase in base salary for the 2015 fiscal year.
