Item 1.01Entry into a Material Definitive Agreement.

 

On November 3, 2016, affiliates of Sotherly Hotels Inc. (the “Company”), the sole general partner of Sotherly Hotels LP (the “Operating Partnership”), entered into a loan agreement and other loan documents, including a guaranty of payment by the Operating Partnership, to secure a $12.0 million mortgage (the “Mortgage Loan”) on the Sheraton Louisville Riverside (the “Hotel”) with Symetra Life Insurance Company (the “Lender”).

 

Pursuant to the loan documents, the Mortgage Loan:

 

 

provides proceeds of $12.0 million;

 

has a maturity date of December 1, 2026;

 

bears a fixed interest rate of 4.27% for the first 5 years of the loan, with an option for the Lender to reset the interest rate after 5 years;

 

amortizes on a 25-year schedule;

 

is subject to prepayment fees; and

 

is guaranteed by Sotherly Hotels LP at 50% of the unpaid principal balance, interest, and other amounts owed.

 

The Company used the proceeds to repay the existing first mortgage on the Hotel and to pay closing costs, and will use the balance of the proceeds for general corporate purposes.

Item 7.01Regulation FD Disclosure.

 

On November 7, 2016, the Company issued a press release announcing the transactions effected pursuant to the debt financing of the Hotel.  A copy of the press release is attached to the Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.

SOTHERLY HOTELS INC. ANNOUNCES REFINANCING OF LOUISVILLE HOTEL

 

Williamsburg, Virginia – November 7, 2016 – Sotherly Hotels Inc. (NASDAQ: SOHO) (the “Company”) announced that it successfully executed a $12.0 million secured loan with Symetra Life Insurance Company collateralized by a first mortgage on the Sheraton Louisville Riverside Hotel.  The loan carries a 10 - year term, a fixed interest rate of 4.27% and amortizes on a 25 - year schedule. The proceeds from the loan were used to repay the existing first mortgage and for general corporate purposes.
