ITEM 2.02    RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On January 5, 2017, PVH Corp. issued a press release to announce that it currently expects its earnings per share on both a GAAP and non-GAAP basis for the fourth quarter and full year 2016 to be at least at the top end of its guidance ranges previously announced on November 30, 2016. A copy of this press release is attached as Exhibit 99.1 to this report.

PVH CORP. UPDATES EARNINGS PER SHARE GUIDANCE 
 
New York, NY - PVH Corp. [NYSE: PVH] announced today that it currently expects its earnings per share on both a GAAP and non-GAAP basis for the fourth quarter and full year 2016 to be at least at the top end of its guidance ranges previously announced on November 30, 2016.
