ITEM 8.01

OTHER EVENTS.

On July 9, 2015, the stockholders of Colonial American Bank (“CAB”) approved the proposed merger (the “Merger”) of CAB with and into OceanFirst Bank (the “Bank”), the banking subsidiary of OceanFirst Financial Corp. (the “Company”). While the Merger remains subject to the satisfaction of certain closing conditions, the required regulatory and stockholder approvals have been received, and the Company anticipates the Merger to close as of July 31, 2015.
