Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 19, 2015, James H. Cohen, a member of the Board of Directors (the “Board”) of Glowpoint, Inc. (the “Company”), gave notice to the Company that, due to other commitments, he does not intend to stand for re-election at the Company’s 2015 Annual Meeting of Stockholders. Mr. Cohen will continue to serve on the Board until the 2015 Annual Meeting. Mr. Cohen’s decision to not stand for re-election was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
