The shares of our common stock offered hereby will be issued pursuant to a settlement and termination agreement (the “Agreement”) by and among us, Freeport-McMoRan Oil & Gas LLC (“FM O&G”), our wholly owned subsidiary, and Noble Drilling (U.S.) LLC (“Noble”). Pursuant to the Agreement, we will issue shares of our common stock to Noble from time to time prior to June 17, 2016 having an aggregate value of up to $540,000,000. The shares of our common stock we issue to Noble will satisfy certain of our obligations under the Agreement, and we will not receive any proceeds from the issuance of such shares.

Our common stock is listed for trading on the New York Stock Exchange (“NYSE”) under the symbol “FCX.” On May 10, 2016, the last reported sale price of our common stock on the NYSE was $10.86 per share.
