Explanation of Responses:
1. Shares held by the reporting person in street name.
2. The price reported in column 4 is a weighted average price. The reporting person undertakes to provide Meredith Corporation, any security holder of Meredith Corporation, or the staff of the Securities and Exchange Commission, upon request, separate prices representing this weighted average.
3. Shares held in reporting person's Meredith Corp. Employee Stock Purchase Plan accounts, upon which quarterly dividends are paid in the form of additional Common Stock ($1 par value).
4. Shares were awarded pursuant to the Meredith Corporation Stock Incentive Plans. The shares are subject to forfeiture and are nontransferable until vested, either on the third or the fifth anniversary of the grant date, as specified in each award agreement.
5. Shares held in reporting person's Meredith Corp. Savings & Investment Plan account, upon which quarterly dividends are paid in the form of additional Common Stock ($1 par value).
6. Nonqualified stock options granted pursuant to the Meredith Corporation Stock Incentive Plan. Each becomes exercisable in its entirety on the third anniversary of the grant date, expires on the 10th anniversary of the grant date, and has an exercise price as specified in the award agreement.
7. Restricted Stock Units granted pursuant to Meredith Corporation's 2004 Stock Incentive Plan which will be converted to Common Stock ($1 par value) on a 1-for-1 basis upon the completion of a three-year period of service. Quarterly dividends are paid in cash.
8. Stock equivalents issued pursuant to Meredith Corporation's Deferred Compensation Plan or Stock Incentive Plan which will be converted to Common Stockc ($1 par value) on a one-for-one basis in connection with the reporting person's retirement from or termination of Meredith Corporation employment.
