Explanation of Responses:
1. On July 28, 2015, Ontario Teachers' Pension Plan Board transferred 27,682 shares of Common Stock held directly by Ontario Teachers' Pension Plan Board to 1700480 Ontario Inc., its wholly owned subsidiary. Ontario Teachers' Pension Plan Board remains a beneficial owner of these 27,682 shares of Common Stock. The transfer is exempt from Section 16 of the Securities Exchange Act of 1934 (the "Exchange Act") pursuant to Exchange Act Rule 16a-13.
2. 1700480 Ontario Inc. and Ontario Teachers' Pension Plan Board are directors by deputization for purposes of Section 16 of the Exchange Act.
