1. These securities are directly owned by SN UR Holdings, LLC ("Holdings"), a wholly-owned subsidiary of Sanchez Energy Corporation ("Sanchez Energy"). Sanchez Energy shares voting and dispositive power over the securities controlled by Holdings and may be deemed a beneficial owner of the securities reported on this Form 3. The transactions pursuant to which the securities were acquired by Holdings were approved by an independent committee of Sanchez Energy's board of directors.
