CPI International (CPII) Acquired By Veritas Capital for $19.50/Share

CPI International, Inc. (Nasdaq: CPII) announced a definitive agreement to be acquired by an affiliate of Veritas Capital Fund for $19.50 per share in cash, or $525 million.
The deal comes at a 35 percent over the closing price of CPI common stock on November 24, 2010.
The transaction is subject to CPI stockholder approval, and is also subject to a number of customary regulatory and other closing conditions. The transaction is not subject to any financing conditions.
