Sunair Services (SNR) Agrees to Be Acquired by Massey Services for $2.75/Share in Cash

Sunair Services Corporation (AMEX: SNR) today announced that it has entered into a definitive merger agreement with Massey Services, Inc. pursuant to which Massey would acquire all of the outstanding common stock of Sunair in an all-cash transaction valued at $2.75 per share, which represents a premium of approximately 47% over the stock's closing price on September 25, 2009. Massey's operations would merge with Middleton Pest Control, Inc., a wholly owned subsidiary of Sunair with headquarters located in Orlando, Florida, which provides pest control and lawn care services to both residential and commercial customers. The transaction is expected to close in November subject to the approval of Sunair's shareholders, customary regulatory approvals and other closing conditions. Following the closing, Harvey L. Massey will be the Chairman and CEO of the combined companies, which will be privately held.

Massey Services and Middleton Lawn and Pest Control

I have been a satisfied customer of Middleton Lawn and Pest Control for many years, but will be cancelling my service contract now because they have been aquired by Massey Services. I will never do business again with Massey Services. I had a house protected by Massey Services that was destroied by termites. They refused to repair the house and were found guilty of negligence in Orange County Circuit Court. They were ordered to pay damages by the court and I have completely demolished the house that I bought for over $450,000. I strongly recommend that you do not do business with this company and you carefully read any protection guarantee they give you. If it is like the one they gave me, it will have many loopholes or reasons why they are not going to repair your property if it sustains extensive damage. Please be wary of this Company.
