July 2, 2008 9:12 AM EDT

Natus Medical Incorporated (Nasdaq: BABY) today announced that it has acquired the neurology business of privately held Schwarzer GmbH in a cash transaction.

The neurology division of Schwarzer develops and markets computer-based electrodiagnostic systems and disposable supplies used by medical practitioners to aid in the detection, diagnosis, and monitoring of neurologic disorders.

The deal was completed through an asset purchase under which Natus acquired the assets of the neurology division of Schwarzer including all shares in MMT Muenchner Medizintechnik GmbH, a subsidiary of Schwarzer GmbH engaged in the distribution of neurology products. In addition to the purchase price paid at closing an earnout provision of the purchase agreement could result in additional cash consideration to Schwarzer GmbH based on the future performance of the Schwarzer Neurology division. Further terms of the deal were not disclosed.

Schwarzer Neurology expects revenue of approximately EUR 4.8 million for its fiscal year ended June 30, 2008.

Natus Medical Incorporated develops, manufactures, and markets neurondiagnostic and newborn care products to healthcare professionals worldwide.
