Comcast (CMCSA) Agrees to Acquire Time Warner Cable (TWC) in $45B Stock Deal

Comcast (NASDAQ: CMCSA) has agreed to acquire Time Warner Cable (NYSE: TWC) in a stock deal valued at $45.2 billion, according to various reports.

Under the terms of the deal, expected to be formally announced on Thursday, Time Warner Cable shareholders will receive 2.875 shares of newly issued Comcast common stock for each share they own. Based on the closing price of Comcast shares of Wednesday, the deal is worth $158.82 per share per Time Warner Cable share.

The deal with Comcast follows a recent $132.50 per share bid from Charter Communications (NASDAQ: CHTR), which Time Warner Cable turned away as inadequate. All the while, Comcast was said to be lurking with a potential bid.

The Comcast/Time Warner Cable deal is likely to draw regulatory scrutiny on antitrust concerns. This could keep a lid on Time Warner Cable's share price and will likely have shares trading below the offer price.
