OpGen (OPGN) Prices IPO at $6/Unit

OpGen, Inc. (Nasdaq: OPGN) announced the pricing of its initial public offering of 2,850,000 units, with each unit consisting of one share of common stock and a warrant to purchase one share of common stock, at a combined price to the public of $6.00 per unit. All of the units are being offered by OpGen. OpGen's common stock and warrants have been approved for listing on the NASDAQ Capital Market. The units will immediately and automatically separate upon issuance, and each of the common stock and warrants are expected to begin trading separately today, under the symbols "OPGN" and "OPGNW," respectively. Each warrant will be immediately exercisable upon issuance for one share of common stock at an exercise price of $6.60 per share and will expire on May 8, 2020.

OpGen has granted the underwriters the right to purchase up to an additional 427,500 shares of common stock at a price of $5.99 per share and/or 427,500 additional warrants at a price of $0.01 per warrant less, in each case, the applicable underwriting discount, within 45 days from the date of this prospectus to cover over-allotments, if any.

Maxim Group LLC is acting as sole book-running manager and National Securities Corporation, a wholly owned subsidiary of National Holdings, Inc. (Nasdaq: NHLD), is acting as co-manager of the offering.
