Capital One Financial Corporation (NYSE: COF) has entered into an underwriting agreement under which selling stockholder ING Bank N.V. (NYSE: ING) has agreed to sell all of its 54,028,086 shares of Capital One common stock pursuant to a previously announced resale offering.
BofA Merrill Lynch, Morgan Stanley and Citigroup acted as joint book-running managers. The offering is expected to close on September 10, 2012, subject to customary closing conditions. Capital One will not sell any shares in the offering, and all net proceeds will be retained by ING Bank N.V.
