American Capital Agency (AGNC) Announces $133M Common Share Shelf

American Capital Agency Corp. (NASDAQ: AGNC) announced today that it priced a public offering of 5 million shares of its common stock at a public offering price of $26.60 per share for total gross proceeds of $133 million. The Company has granted the underwriters an option to purchase up to an additional 750,000 shares to cover overallotments. The offering is subject to customary closing conditions and is expected to close on Friday, October 30, 2009.

AGNC expects to use the net proceeds from this offering to acquire additional agency securities as market conditions warrant and for general corporate purposes.

Citi, Deutsche Bank Securities and UBS Investment Bank are the joint book-running managers for the offering. Credit Suisse Securities (USA) LLC and JMP Securities are the joint-lead managers, with Keefe, Bruyette & Woods, Inc. and RBC Capital Markets acting as co-managers for the offering.

The offering will be made under AGNC's existing shelf registration statement filed with the Securities and Exchange Commission.
