Shares of Visa (NYSE: V) are falling modestly this morning as we are hearing that an analyst at BofA/Merrill Lynch downgraded the stock from Neutral to the dreaded Underperform earlier. Slapping on the equivalent of a sell rating, the BofA analyst believes that recent issues with the new debit regulations will weigh on the stock, also adding that structural concerns are beginning to grow.

With about a half-hour left in this morning's pre-market session, Visa shares are down 0.7% to $71 even.
