Notable Mergers and Acquisitions of the Day 2/13: THOR, INFA, EMAG
- Thoratec Corporation (Nasdaq: THOR) and HeartWare International entered into a definitive merger agreement under which Thoratec will acquire HeartWare for a consideration currently valued at approximately US$282 million, of which approximately 50% will be paid in cash and approximately 50% will be paid in shares of Thoratec common stock.
Under the merger agreement, each share of HeartWare common stock (representing 35 CDIs) will be converted into the right to receive $14.30 in cash and 0.6054 of a share of Thoratec common stock, reflecting a current per share price of approximately US$30.19 for each share of HeartWare common stock.
- Informatica Corporation (Nasdaq: INFA) has signed a definitive agreement to acquire Applimation. The acquisition is expected to close within a matter of days. Applimation delivers a product portfolio for customers to manage various phases of their application data lifecycle, from testing to archiving. Application ILM reduces total-cost-of-ownership and increases return-on-investment associated with enterprise business applications, such as ERP, CRM, HR and SCM.
Informatica will acquire all the capital stock of Applimation in a cash transaction valued at approximately $40 million. The acquisition is subject to customary closing conditions.
- Emageon Inc. (Nasdaq: EMAG) announced today that it has received the $9 million that had been placed in escrow with The Bank of New York Mellon by Health Systems Solutions, Inc. (OTCBB: HSSO) in connection with the parties' merger transaction. The escrowed funds became payable to Emageon when the merger was not consummated before the close of business on February 11, 2009.
Emageon also announced that it has terminated its amended merger agreement with Health Systems due to Health Systems' failure to receive all necessary financing on or before the designated closing date of February 11, 2009. Emageon continues to evaluate its options in response to these developments.
