Layne Christensen Co (NASDAQ: LAYN) said it would file its 10-Q late. The company gave the following reason:

As a result of the completion of the Company’s sale of an operating division during the period ended October 31, 2012, the Company experienced unexpected delays in finalizing its Quarterly Report on Form 10-Q for the quarter then ended. The Company was unable to file the Report by the prescribed date of December 10, 2012, without unreasonable effort or expense. In accordance with Rule 12b-25 promulgated under the Securities Exchange Act of 1934, as amended, the Company intends to file its Report on December 11, 2012, which is prior to the fifth calendar day following the prescribed due date.
