Black & Decker (NYSE: BDK) 21.2% HIGHER; Stanley Works has agreed to acquired Black & Decker in a merger that will create an $8.4 billion global industrial leader in an all-stock transaction valued at $4.5 billion. The merger has caused a 20 percent jump in the stock price for Black & Decker in the after-hours market. Click here for the full report. Black & Decker shareholders will receive a fixed ratio of 1.275 shares of Stanley common stock for each share of Black & Decker common stock that they own as of October 30, 2009. This gives an implied premium of 22.1 percent to the Black & Decker share price.

Diedrich Coffee, Inc. (NASDAQ: DDRX) 16.7% HIGHER; Peet's Coffee & Tea, Inc. (NASDAQ: PEET) and Diedrich announced today that they have entered into a definitive agreement under which Peet's will acquire Diedrich in a cash-and-stock transaction valued at $26.00 per share or a total value of approximately $213 million.

ATS Medical (NASDAQ: ATSI) 9.7% HIGHER; reports Q3 loss of $0.01, even with the analyst estimate of ($0.01). Revenue for the quarter was $18.80 million, which compares to the estimate of $18.65 million.

TNS, Inc. (NYSE: TNS) 9.2% LOWER; reports Q3 EPS of $0.60, 2 cents worse than estimates. Total revenue for the third quarter of 2009 increased 58.1% to $140.1 million vs. $140.81 million consensus.

Herbalife Ltd. (NYSE: HLF) 8.8% HIGHER; reports Q3 EPS of $0.85, 16 cents better than the analyst estimate of $0.69. Revenue for the quarter was $602 million, which compares to the estimate of $575.06 million. Herbalife sees Q4 EPS of $0.88-$0.91, versus the consensus of $0.86. Herbalife sees FY EPS of $3.19-$3.22 versus the consensus of $3.03.

Himax Technologies Inc. (NASDAQ: HIMX) 7% LOWER; reports Q3 adjusted EPS of $0.09, 3 cents better than the analyst estimate of $0.06. Revenue for the quarter was $203.10 million, which compares to the estimate of $207.88 million. Sees Q4 GAAP EPS $0.03 - $0.05. Sees Q4 sales down 15 - 19% sequentially.

Hutchinson Technology, Inc. (NASDAQ: HTCH) 6.9% HIGHER; reports Q4 adj-loss of $0.04, 4 cents better than the analyst estimate of ($0.08). Revenue for the quarter was $103.2 million, which compares to the estimate of $102.66 million.

Synchronoss Technologies, Inc. (NASDAQ: SNCR) 6.9% HIGHER; reports Q3 EPS of $0.10, 4 cents below the analyst estimate of $0.14. Revenue for the quarter was $33.1 million, which compares to the estimate of $31.98 million.

Rudolph Technologies (NASDAQ: RTEC) 6.8% HIGHER; reports Q3 loss of $0.07, 10 cents better than the analyst estimate of ($0.17). Revenue for the quarter was $23.3 million, which compares to the estimate of $18.90 million.

Avis Budget Group, Inc. (NYSE: CAR) 6.5% HIGHER; reports Q3 adjusted EPS of $0.65, 10 cents better than the analyst estimate of $0.55. Revenue for the quarter was $1.50 billion, which compares to the estimate of $1.61 billion.

Compellent Technologies Inc. (NYSE: CML) 6.1% HIGHER; will replace Central Pacific Financial Corp. (NYSE: CPF) in th eS&P SmallCap 600 index.

Texas Roadhouse, Inc. (NASDAQ: TXRH) 5.4% LOWER; reports Q3 EPS of $0.15, cents better than the analyst estimate of $0.12. Revenue for the quarter was $226.50 million, which compares to the estimate of $226.73 million. Sames stores sales down 4.6%. See Fy09 EPS growth about 20%.

Holly Energy Partners, L.P. (NYSE: HEP) 5.1% LOWER; intends to offer, subject to market and other conditions, 1,900,000 common units representing limited partner interests in the Partnership in a public offering. In connection with the offering, the Partnership expects to grant the underwriters a 30-day option to purchase up to 285,000 additional common units.

SRS Labs (NASDAQ: SRSL) 5% HIGHER; reports Q3 EPS of $0.10, versus the analyst estimate of $0.02. Revenue for the quarter was $7.2 million, which compares to the estimate of $5.95 million.

Rogers Corporation (NYSE: ROG) 4% HIGHER; reports Q3 EPS of $0.44, 12 cents better than the analyst estimate of $0.32. Revenue for the quarter was $81 million, which compares to the estimate of $76 million. Sees Q409 EPS of $0.30 - $0.36, versus $0.23 consensus. Carrols Restaurant Group (NASDAQ: TAST) 3.8% HIGHER; reports Q3 EPS of $0.26, 7 cents better than the analyst estimate of $0.17. Revenue for the quarter was $201.2 million, which compares to the estimate of $202.21 million.

Ford (NYSE: F) 3.7% LOWER; announced today additional steps to improve its balance sheet and enhance automotive liquidity. Actions being announced include a proposal to lenders under Fords revolving credit facility to extend the maturity of the facility from 2011 to 2013 in exchange for reducing lenders commitments and increasing interest margins and fees.
